Op 30 augustus 2022 zijn in de Staatscourant van het Koninkrijk der Nederlanden 4 besluiten van de staatssecretaris van financiën gepubliceerd. Deze besluiten behelzen wijzigingen van de eerdere besluiten waarin de standaardvoorwaarden voor respectievelijk juridische fusies, zuivere splitsingen, juridische afsplitsingen en de bedrijfsfusies zijn neergelegd.

Zoals wij in ons artikel van 13 juni 2022 aangaven had de Advocaat-Generaal in zijn conclusie van 10 juni 2022 geconcludeerd dat de verplichting om aangifte te doen door middel van eHerkenning een wettelijke basis heeft in art. 2:15, lid 1, Awb en art. 3a, lid 2, AWR. Dit inlogmiddel is alleen verkrijgbaar tegen betaling bij een commerciële partij. Naar aanleiding van deze conclusie heeft Tweede Kamerlid lid Idsinga (VVD) op 28 juni 2022 vragen aan de staatssecretaris gesteld. De antwoorden op deze vragen heeft de staatssecretaris op 29 augustus 2022 naar de Tweede Kamer gestuurd.

Op 13 augustus 2021 schreven we al over de uitspraak van Rechtbank Gelderland in de zaken met  de zaaknummers: AWB - 19 _ 6602 en 19_6603, ECLI:NL:RBGEL:2021:2972. De zaak draait feitelijk om 2 vragen.

De eerste vraag is of in de onderhavige casus de belastingplichtige middels de oprichting van een nieuwe fiscale eenheidsvennootschap gevolgd door een juridische fusie binnen de fiscale eenheid waarbij de nieuw opgerichte vennootschap de overblijvende vennootschap is toegang krijgt tot de mogelijkheid om de ‘voorvoegingsverliezen’ van belanghebbende te verrekenen met de winsten van de onderneming van de bij de fusie verdwijnende vennootschap? Een mogelijkheid tot verliesverrekening die zonder de juridische fusie niet zou hebben bestaan. Of gooit het algemene leerstuk van fraus legis hierbij roet in het eten?

On July 11, 2022 the OECD opened a public consultation on the Progress Report on Amount A of Pillar One. This Progress Report is a consultation document released by the OECD Secretariat for the purposes of obtaining further input from stakeholders on the technical design of Amount A. The consultation period ran until August 19, 2022.

On August 17, 2022 we already reported that the Swiss Federal Council opened a public consultation on a Draft Ordinance to implement a minimum taxation for large multinationals (Pillar 2 of the OECD’s Two-Pillar solution). The Draft Ordinance contains 11 Articles and is only 4 pages long.

On August 17, 2022 the Swiss Federal Council opened a public consultation on Draft Ordinance to implement a minimum taxation for large multinationals (Pillar 2 of the OECD’s Two-Pillar solution). As we already reported in our Article of June 23, 2022 in view of the time schedule the Federal Council has decided to proceed in stages. An amendment to the Constitution will empower the Confederation to implement the OECD/G20 project. In a second step, the Federal Council will regulate minimum taxation by means of a temporary ordinance. Afterwards, a federal law will replace the ordinance. The consultation period will run until November 17, 2022.

Currently Switzerland generally does not impose a withholding tax on interest under domestic law. However, exceptions apply to interest derived from deposits with Swiss banks, bonds, and bond-like loans, which currently are subject to a 35% withholding tax at the Swiss Federal level. And interest paid to a nonresident on receivables secured by Swiss real estate is subject to a tax at source. The aforementioned 35% withholding tax and the tax at source which apply under domestic law may be reduced under a tax treaty.
